17. Powers and Duties of the Board

17.1

General powers

The Board:

17.1.1

may, subject to the Rules, the Act and the ACNC Act, exercise all such powers and functions as may be exercised by the Association other than those powers and functions that are required by the Rules to be exercised by general meetings of the members of the Association; and

17.1.2

subject to the Rules, the Act and the ACNC Act, has power to perform all such acts and things as appear to the Board to be essential for the proper management of the business and affairs of the Association.

17.2	Duties The Board has the duties prescribed by the Act and the ACNC Act, including those of:
	17.2.1	proper use of information;
	17.2.2	proper use of position; and
	17.2.3	disclosure of conflicts of interest.

17.3	Delegation
	17.3.1	The Board may delegate exclusively or non-exclusively any of its powers and/or functions (not being duties imposed on the Board by the Act, the ACNC Act or the general law) as the Board thinks fit.
	17.3.2	The Board may at any time withdraw or vary any of the powers delegated pursuant to Rule 17.3.1.

17.4	Liability
	Subject to the Act and the ACNC Act, Board members are not liable by reason only of their Board membership to contribute towards the payment of the debts and liabilities of the Association or the costs, charges and expenses of the winding up of the Association.
