19.  Office Bearers

 

19.1

Appointment of office bearers

 

19.1.1

At the first Board meeting following the annual general meeting, the Directors present may choose from their number the following office bearers:

(a)      a Chairperson;

(b)      a Vice Chairperson;

(c)      an Honorary Treasurer; and

(d)      a Secretary (unless a person has been appointed to the paid office of Chief Executive Officer, Finance Manager or Administrative Officer (however styled))

 

19.1.2

The appointment of the Chairperson, Vice Chairperson, Honorary Treasurer and Secretary, by the Board, must be the first item of business at the designated meeting of the Board.

 

19.1.3

Each office bearer holds office for one term commencing at the end of the Board meeting at which the officer bearer was appointed and ending at the conclusion of the first Board meeting following the first annual general meeting after their appointment.

 

19.2

Chairperson and Vice Chairperson

 

The Chairperson, or in the Chairperson’s absence the Vice Chairperson, is entitled to act as chairperson of Board meetings, but if no such Chairperson or Vice Chairperson is elected, or if at any meeting the Chairperson or Vice Chairperson is not present within 10 minutes after the time appointed for holding the meeting, or unwilling to act, the Directors present may choose one of their number to be chairperson of the meeting.
