20.1

The Board may:

20.1.1

appoint a person as the ‘Manager’ or ‘Chief Executive Officer’ of the Association, on such terms and conditions as the Board determines from time to time; and

20.1.2

delegate exclusively or non-exclusively to that person any of its powers and/or functions (not being duties imposed on the Board as the directors of the Association by the Act, the ACNC Act or the general law) as the Board thinks fit.

20.2

For the avoidance of doubt, the ‘Manager’ or ‘Chief Executive Officer’ is not a member of the Board, and is only entitled to attend meetings of the Board and the Members, if so directed by the Board from time to time
