The Board must cause minutes of the resolutions and proceedings of each general meeting, and Board meeting and each committee meeting to be kept in books provided for that purpose, which must be signed by the chair of the meeting at which the proceedings took place, or the chair of the next succeeding meeting.

Where minutes have been so entered and signed then, unless the contrary is proved: | |

24.2.1 |
the meeting is deemed to have been duly convened and held;
|
|
24.2.2 |
all proceedings that are recorded in the minutes as having taken place at the meeting are deemed to have duly taken place; and |

24.2.3 |
all appointments of officers or auditors that are recorded in the minutes as having been made at the meeting are deemed to have been validly made. |
24.3 |
Unless prescribed by the Act, Members may not access minutes of meetings of the Board unless they are also a Director and access is conferred in a manner determined by the Board. |
