Purpose
The Kyeema Board Housing and Development Committee (‘the Committee’) is a subcommittee of the Board of Directors (Board). The Committee will report and provide advice and recommendations to the Board in accordance with this charter.
The Committee’s primary objectives are:
- to assist the Board in developing and implementing strategies relating to disability housing and any building and development works Kyeema undertakes
- to support the Board in maximising the utility of its premises to deliver on its vision and mission
Membership
The Committee shall be appointed by the Board and will comprise of:
•The Chairperson and two other members elected by and from the Board.
•Community representative/s with appropriate skills the Board considers of benefit may be included as members.
•Membership will be reviewed at the first meeting after the Annual General Meeting annually.
•Other persons, both internal and external, may be invited to attend meetings at the request of the Chairperson to provide advice and assistance.
Chairperson
The Chairperson will be responsible for chairing the meetings.
Secretary
The Chief Executive Officer, or their delegate, will be the Secretary of the Committee with the responsibility of:
•Preparing Agendas and issuing notices for meetings in conjunction with the Chair of the Committee.
•Ensuring all documentation for discussion or comment is attached to the Agenda before distributing.
•Distributing the Agenda at least one week prior to the meeting.
•Taking notes of proceedings and preparing the Minutes of the meeting for circulation.
Duration of Meetings
Meetings will be held as required depending upon the Board’s strategic need, with dates and times to be determined by the members of the Committee.
Functions, Roles and Responsibilities
The Committee is authorised by the Board to:
•provide the Board with proposals for development in line with agreed current and future strategy.
Quorum and decision making
A quorum will consist of a simple majority of members of the Committee.
Reporting
The Committee reports to the Board and Minutes of the Committee will be included in the Board Agenda papers for consideration.
Terms of Reference Review
The Terms of reference will be reviewed as required but not more than every two years.
